1. Who Is the Seller

The seller is Ondřej Pirohanič, sole trader, business ID (IČO) 04455495, with registered office at Augustinova 2075/9, Chodov, 148 00 Praha 4, Czech Republic. The seller operates the website Studio Folia, available at studio-folia.com. Contact e-mail: [email protected]. The seller is registered in the trade register of the Czech Republic. All prices are final.

2. What You Are Buying

The subject of purchase is digital content — website templates delivered as downloadable files, WordPress plugins, licenses to the Folia Core system, and agency licenses. These are not physical goods. No tangible item will be shipped to you. You are purchasing a non-exclusive right to use the digital product in accordance with the license terms described below. Each product has a live demo available on the website before purchase, so you can review the functionality and suitability of the product prior to ordering.

3. Order and Contract Formation

A purchase contract is formed when you submit your order through the website and the seller confirms it. Before submitting the order, you must check a box confirming that you have read and agreed to these Terms of Business, and that you expressly consent to the immediate delivery of digital content and the waiver of your withdrawal right once downloading begins. The order confirmation is sent to the e-mail address you provide. If you do not receive a confirmation, check your spam folder or contact the seller at [email protected].

4. Price and Payment

Prices are stated in euros (EUR) and are final. They include all applicable charges. Payment is made online by credit or debit card through the Stripe payment gateway. The seller does not obtain, store, or process your card details — Stripe handles the entire payment transaction securely. After successful payment, the license to the digital product is activated, and the download link is sent to your e-mail. If payment fails, no license is granted and no download link is sent.

5. Delivery

Digital content is made available for download immediately after payment is completed, typically within a few minutes. The download link is sent to the e-mail address you provided during the order process. If the e-mail does not arrive, first check your spam or junk folder. If you still cannot find it, contact the seller at [email protected], and the link will be re-sent. The seller is not responsible for delivery failures caused by an incorrect e-mail address provided by the buyer.

6. License — What You May Do with the Product

Upon payment, you receive a non-exclusive, perpetual license to use the purchased template or plugin for your own business or for a client project. You may install the product on one domain per license, unless the product description states otherwise. You may modify the template to fit your needs. You may not resell, redistribute, sublicense, or share the downloaded files with third parties. Agency licenses grant broader rights, as described on the product page. The Folia Core system license is subject to the specific terms displayed on the product page before purchase.

7. Withdrawal from Contract — Read Carefully

As a consumer purchasing goods or services at a distance, you generally have the right to withdraw from the contract within 14 days without giving a reason. However, for digital content delivered by download, this right expires once you have given your express consent to the immediate delivery of the digital content and have acknowledged that you lose the withdrawal right by starting the download. By checking the consent box before placing your order, you confirm that you understand and accept this. If you do not wish to waive your withdrawal right, do not complete the purchase. In that case, the digital content will not be delivered, and no contract will be formed.

8. Defects and Complaints

The seller is responsible for ensuring that the digital content matches its description and functions properly in the standard environment specified on the product page (e.g., a common web hosting service with the stated PHP version and WordPress version). If the product contains a defect that prevents its normal use, you may file a complaint within 12 months from delivery. The seller will either fix the defect, provide a corrected version, or — if the defect cannot be remedied — refund the purchase price. To file a complaint, contact the seller at [email protected] and describe the issue in detail, including your order number and the steps you took that led to the problem. The seller will respond within 14 days.

9. Support

Support is included with each product to the extent specified on the product page — typically installation assistance and resolution of defects. Support does not include custom modifications, creation of new features, or assistance with third-party services or hosting environments that do not meet the minimum requirements stated on the product page. Support is provided via e-mail at [email protected]. The seller aims to respond within two business days.

10. Out-of-Court Dispute Resolution

If you are a consumer and a dispute arises from this contract, you have the right to seek out-of-court resolution. The competent authority is the Czech Trade Inspection Authority (Česká obchodní inspekce), Štěpánská 796/44, 110 00 Prague 1, Czech Republic, website: coi.cz. For consumers residing in the United States, the Federal Trade Commission (FTC) is the relevant consumer protection agency; you may file a complaint at reportfraud.ftc.gov. This does not limit your right to bring legal proceedings before a court.

11. Privacy and Personal Data

The seller processes your personal data (name, e-mail address, and payment confirmation data) solely for the purpose of fulfilling the contract and delivering the digital content. The seller is based in the European Union, and your data is processed and stored in the EU. The seller does not sell or share your personal data with third parties, except for the payment processor Stripe, which receives only the data necessary to process your payment. The seller does not store your card details. For residents of California, the California Consumer Privacy Act (CCPA/CPRA) grants you the right to know what personal data is collected, the right to request deletion of your data, the right to opt out of the sale of your data (the seller does not sell data), and the right to non-discrimination for exercising these rights. To exercise any of these rights, contact the seller at [email protected]. The seller also follows the EU General Data Protection Regulation (GDPR) as a standard of data protection, even though it is not the primary legal framework for customers residing in the United States.

12. Governing Law

This contract is governed by the laws of the Czech Republic. If you are a consumer residing in another country, including the United States, mandatory consumer protection provisions of your country of residence remain unaffected. The seller does not provide any warranty beyond what is stated in these Terms of Business. The seller is not liable for indirect damages, loss of profits, or data loss caused by the use of the digital content, to the maximum extent permitted by applicable law.

13. Final Provisions

These Terms of Business may be updated by the seller from time to time. The version in effect at the time of your order applies to your purchase. If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. By placing an order, you confirm that you have read, understood, and agreed to these Terms of Business in their entirety. For any questions regarding these terms or your order, contact the seller at [email protected].
